Terms and Conditions

These terms apply to every engagement Text Jesse (KVK 80236804) carries out for a client. Together with the signed statement of work (SOW), they form the complete agreement. If they conflict, the SOW takes precedence.

1. Engagement and scope

Every engagement starts with a written statement of work covering scope, term, and price. Work outside that scope is discussed and priced separately before it starts.

2. Term and cancellation

The sales outbound campaign has a minimum term of 3 months, with month 1 as a build-up month: warming up domains, setting up the list and copy. Results follow after that. After the minimum term, the engagement continues monthly until cancelled, with a 1-month notice period.

3. Pricing and payment

Prices exclude VAT unless stated otherwise. Invoices are sent monthly in advance and are due within 14 days. In case of late payment, Text Jesse may pause work until the invoice is paid.

4. What Text Jesse delivers

Text Jesse delivers a working sales outbound campaign: defining the target audience, building and enriching the list, setting up domains and inboxes, writing copy, sending, and adjusting. LinkedIn content and thought leader ads are separate services, included only when explicitly stated in the statement of work.

5. Effort, not a guarantee

Text Jesse works to make the campaign as effective as possible, based on experience with similar engagements. The number of meetings, replies, or deals depends on factors outside Text Jesse's control, such as the client's market, offer, and price. Text Jesse therefore does not guarantee a specific result, unless explicitly stated in the statement of work.

6. Data

To carry out the engagement, Text Jesse processes business contact data on the client's behalf, as described in the privacy policy. Data the client provides (such as existing lists or CRM exports) is used only for the engagement and not shared with third parties beyond the service providers needed to do the work.

7. Confidentiality

Both parties keep non-public information they receive from each other confidential and use it only for the engagement. This obligation continues after the engagement ends.

8. Liability

Text Jesse is liable for direct damage caused by an attributable failure, up to the amount the client paid in the preceding 3 months. Text Jesse is not liable for indirect damage, including lost revenue or missed opportunities.

9. Intellectual property

The client may freely use copy, lists, and materials Text Jesse creates specifically for them after the engagement ends. Text Jesse's own tools, scripts, and methods remain Text Jesse's property.

10. Changes

Text Jesse may update these terms. Changes apply to new engagements from the publication date; engagements already underway follow the terms in place at signing, unless both parties agree otherwise.

11. Governing law

Dutch law applies to these terms. Disputes are resolved through discussion where possible; failing that, the court in the district where Text Jesse is based has jurisdiction.
